Terms of Use

These Terms govern access to ACDS Decision and its agricultural capital decision tools. Please read them before using an analyzer.

Important liability terms

The decision remains yours.

  • ACDS provides screening and decision support—not professional advice, approval, appraisal, verification, or assurance.
  • Results depend on user-entered assumptions and may contain errors, omissions, or unsuitable methods for a particular transaction.
  • The service is provided “as is” and “as available,” without guarantees, subject to rights that cannot legally be excluded.
  • Sections 15 and 16 disclaim warranties and limit liability. They are a material condition of access to this beta service.

Agreement and acceptance

These Terms are an agreement between you and Irwin Hol, the current operator of ACDS Decision in Ontario, Canada (the “Operator”). “ACDS,” “we,” “us,” or “our” means the Operator and the ACDS Decision service, as the context requires. “Protected Parties” means the Operator and the Operator’s successors, assigns, contractors, personnel, representatives, suppliers, hosting and cloud service providers, and licensors. These Terms govern acdsdecision.ca, acdsdecision.com, and the ACDS analyzers. By selecting the acknowledgement and continuing to an analyzer, or by otherwise using an analyzer, you confirm that you have read, understood, and agree to these Terms and the Privacy Notice. Your electronic acknowledgement and continued use form an electronic agreement. If you do not agree, do not use an analyzer. ACDS Decision is a service name; it is not a representation of incorporation, professional licensing, government approval, or lender endorsement.

Eligibility and authority

You must have reached the age of majority where you live and be legally capable of entering this agreement. If you access or use ACDS for a farm, lender, advisory practice, company, partnership, or other organization, “you” includes that organization and you represent and warrant that you have authority to bind it to these Terms. You are responsible for following its policies and for obtaining every permission needed to enter, export, or share its information. If you do not have that authority, do not use ACDS on its behalf.

Paid beta and subscription access

ACDS currently provides beta tools for organizing assumptions and comparing agricultural capital alternatives. Founding Producer Access is an annual subscription at the price and in the currency shown at checkout. It renews automatically each year until cancelled. You may cancel through the Stripe customer portal; cancellation stops the next renewal and access normally continues until the end of the paid period. Failed, reversed, refunded, or disputed payments may suspend access. Except where required by law or expressly stated by ACDS, payments are non-refundable. Stripe processes payment information under its own terms and privacy practices. Beta features, formulas, supported inputs, reports, availability, and file formats may change, be corrected, or be discontinued. Independent professional model review is pending. A beta label is not a warranty that every limitation has been identified.

Geographic and model scope

ACDS is designed primarily for Canadian agricultural users and presents financial amounts in Canadian dollars unless stated otherwise. Some farmland content, taxes, transaction-cost assistance, terminology, and references are Ontario-specific. The service is not localized for Quebec or for jurisdictions outside Canada. If a decision, asset, user, or organization is outside Ontario, you are responsible for confirming applicable law, tax, consumer, language, licensing, privacy, accounting, and professional requirements before using an output.

No professional advice or relationship

ACDS does not provide accounting, tax, legal, investment, financial-planning, lending, credit, brokerage, insurance, engineering, agronomic, environmental, safety, appraisal, or valuation advice. Use does not create an accountant-client, lawyer-client, lender-borrower, advisor-client, fiduciary, agency, partnership, employment, brokerage, or other professional relationship. A ranking, supported-price estimate, ratio, warning, or report is not an offer, commitment, approval, recommendation to transact, or substitute for responsible professional judgment.

No verification, appraisal, or assurance

ACDS does not independently inspect property or equipment, verify identity or authority, authenticate documents, confirm quotes, reconcile source records, audit financial statements, appraise assets, assess title or environmental conditions, or validate user-entered reviewer information. A generated report is not an audit, review engagement, appraisal, certification, electronic signature, fairness opinion, credit adjudication, or assurance engagement.

Text-intake matches are unverified candidates that require your confirmation. Acquisition buy-box results, parcel-watchlist fit, assigned milestones, condition statuses, closing dates, and decision-value estimates are user-controlled planning records. They are not authenticated transaction facts, professional clearances, legal checklists, satisfied conditions, waivers, approvals, or proof that ACDS caused a recorded economic result.

Your assumptions and decisions

You are solely responsible for the completeness, accuracy, currency, consistency, rights, and permitted use of every input. Before acting, you must independently confirm material facts, including prices, taxes, financing, capacity, condition, operating costs, useful life, residual value, title, land use, environmental matters, insurance, and transaction conditions. You decide whether a method, time horizon, stress scenario, and result are appropriate for your purpose and risk tolerance.

Output limitations and permitted reliance

Outputs are deterministic mathematical results under the entered assumptions; they are not statements of fact about future performance. Forecasts, break-even values, rankings, and sensitivity results can change materially with small input or methodology changes. Do not use ACDS as the sole basis for a purchase, lease, loan, credit decision, appraisal, tax filing, legal position, or safety-critical action. Outputs are provided for your internal decision support. Sharing or receiving an exported report does not create a professional relationship, duty of care, warranty, approval, assurance, or right of reliance between ACDS and the recipient. A recipient must independently verify the assumptions, warnings, model version, scope, and conclusions before considering the report. ACDS has no duty to update an exported report or notify a recipient of later model, data, correction, or Terms changes. You assume the risk of acting without appropriate independent review.

Availability, changes, and data loss

We do not promise uninterrupted, secure, compatible, or error-free access. Browser storage can be cleared, corrupted, unavailable, or lost when devices or settings change. ACDS may modify, suspend, restrict, or discontinue any feature without notice. Keep independent copies of source records and download important reports or editable backups. You are responsible for testing restored files before using them. ACDS is not responsible for delay, interruption, or failure caused by events outside its reasonable control, including internet, power, device, browser, hosting or cloud-service failures; malicious acts; governmental or regulatory action; labour disruption; natural disaster; or other comparable events.

Acceptable use

You must not use ACDS unlawfully; interfere with or attempt to defeat its security or access controls; introduce malicious code; scrape or overload the service; misrepresent an output as an ACDS approval, appraisal, certification, or professional opinion; remove material warnings from a report; submit information you are not authorized to use; or use the service to make an unlawful discriminatory or otherwise prohibited decision.

Privacy, My Farm synchronization, and editable backups

The Privacy Notice explains the current data design. Analyzer inputs and project drafts remain in your browser. When you sign in, My Farm records—including the farm profile, visual-farm assets, mapping, strategy, farm identity image, and farm-supplied asset photos—may synchronize to your account and retain a device cache. This synchronization does not include detailed analyzer projects. Editable backups move only when you deliberately download, share, or reopen them. Deleting one copy does not delete separate downloaded or shared copies. Do not enter personal information, confidential third-party information, banking credentials, or information you are not permitted to process. You are responsible for account and device access, browser security, backups, and lawful sharing.

Ownership and limited permission

ACDS and its licensors retain all rights in the service, interface, branding, documentation, formula implementation, and original content. Subject to these Terms, ACDS gives you a limited, revocable, non-exclusive, non-transferable permission to use the service during an active access period for your own internal evaluation and decision support. You retain rights in information you enter and reports you generate, subject to ACDS rights in the underlying service, format, and methodology.

Feedback

Feedback is optional. By submitting it, you give ACDS a worldwide, perpetual, irrevocable, royalty-free right to use, reproduce, adapt, and incorporate the feedback to improve, document, or commercialize the service without identifying you or compensating you. Do not submit confidential information, personal information, model inputs, or third-party material.

Third-party information and links

References or links to government, lender, professional, or other third-party material are provided for convenience. ACDS does not control, endorse, warrant, or assume responsibility for third-party content, availability, products, advice, or privacy practices. You must verify that outside material is current and applicable.

Disclaimer of warranties

To the maximum extent permitted by applicable law, ACDS and the Protected Parties provide the service “as is” and “as available,” with all faults and without warranties, representations, conditions, or guarantees of any kind, whether express, implied, statutory, or collateral. This includes implied warranties or conditions of accuracy, completeness, merchantability, quality, fitness for a particular purpose, title, non-infringement, compatibility, security, availability, or results. ACDS does not warrant that an output will satisfy a lender, accountant, borrower, insurer, regulator, or other decision-maker. Nothing in these Terms excludes a warranty, condition, remedy, or statutory right that applicable law does not permit the parties to exclude.

Limitation of liability

To the maximum extent permitted by applicable law, the Protected Parties will not be liable for any indirect, incidental, special, consequential, aggravated, exemplary, or punitive damages; loss of profit, revenue, savings, opportunity, goodwill, use, production, crop, data, or business; financing or transaction costs; business interruption; or claims by another person, arising from or relating to ACDS, an output, these Terms, or the inability to use the service. These exclusions apply under any legal theory, including contract, tort (including negligence and negligent misrepresentation), statute, equity, strict liability, or otherwise, even if a Protected Party was advised of the possibility. To the maximum extent permitted by law, the Protected Parties’ total aggregate liability for all claims arising from the same or related events will not exceed the greater of (a) the amount you paid ACDS for the service during the 12 months before the event giving rise to the claim and (b) CAD $100. Each exclusion and limit applies independently and even if a remedy fails of its essential purpose. These exclusions and limits do not apply to liability that cannot lawfully be excluded or limited, including liability for fraud or wilful misconduct. The beta status, warranty disclaimer, and allocation of risk in these Terms are a material basis on which ACDS is made available; without them, ACDS would not provide the service on these terms.

Limited indemnity

To the extent permitted by law, you will defend, indemnify, and hold harmless the Protected Parties from third-party claims, liabilities, damages, judgments, penalties, and reasonable legal fees and costs caused by your unlawful use of ACDS; your material breach of these Terms; information or material you enter, export, or share without the required rights or authority; or your removal of warnings or misrepresentation of an output as an ACDS approval, appraisal, assurance, or professional opinion. ACDS will provide reasonably prompt notice where practicable. You may control the defence with qualified counsel, but you may not agree to a settlement that admits fault by, imposes an obligation on, or fails to fully release a Protected Party without ACDS’s prior written consent. This obligation does not apply to the extent a claim was caused by the conduct of the party seeking indemnity.

Suspension and termination

You may stop using ACDS at any time. ACDS may restrict or end access where reasonably necessary to protect the service, users, legal compliance, or third parties, or where these Terms are breached. Cancelling a subscription does not itself create a refund and normally takes effect at the end of the paid period. Provisions that by their nature should survive will survive, including ownership, feedback rights, disclaimers, liability limits, indemnity, and general legal terms.

Changes to these Terms

We may update these Terms as the beta, law, or business model changes. The version and effective date identify the current agreement. Material changes will require a new acknowledgement before further analyzer use. Changes do not retroactively alter rights or obligations that arose before their effective date unless the law permits and the parties validly agree. The Terms history identifies each formal version published by ACDS.

Ontario law and courts

These Terms are governed by the laws of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-law rules. Subject to any mandatory right you cannot waive, you and ACDS agree that the courts of Ontario have exclusive jurisdiction over disputes arising from or relating to ACDS or these Terms, and that Ontario is a proper and convenient forum. These Terms do not restrict a consumer protection, privacy, or other statutory right that applicable law does not allow you to waive.

General terms

These Terms, the checkout disclosures, and the Privacy Notice are the entire agreement about access to the service unless ACDS gives you separate written terms. If a provision is unenforceable, it will be limited or severed only to the minimum extent necessary to make it enforceable where possible, and the remainder will continue. A failure to enforce a provision is not a waiver. You may not assign these Terms without written consent; ACDS may assign them as part of a reorganization, incorporation, financing, sale, or transfer of the service. The Protected Parties are intended third-party beneficiaries of Sections 12 and 15–21 and may enforce those provisions. No other person is an intended third-party beneficiary or receives a right of reliance under these Terms. Headings are for convenience only.

Questions and notices

Send general support, Terms questions, and contractual notices intended for ACDS to support@acdsdecision.ca. Send privacy questions or privacy-rights requests and complaints to privacy@acdsdecision.ca. Do not send model inputs, confidential farm records, banking details, or complete financial files by email. ACDS may provide account or billing notices to the email connected to your account and may provide general service notices by posting them on the website. The effective date and version history identify the current legal documents.
